Confidentiality Undertaking

This Undertaking is a confidentiality commitment given unilaterally by MODIFUSE TEKNOLOJİ SANAYİ VE TİCARET ANONİM ŞİRKETİ.

Its purpose is to set out plainly how information reaching us at the quote stage is protected, even where no separate confidentiality agreement has been signed between the parties. This undertaking does not replace a mutually signed confidentiality agreement; it complements one.

The following is treated as confidential information:

• CAD models, technical drawings, specifications and tolerance information
• Part names, project names and programme information
• Quantity, delivery schedule and pricing information
• All commercial and technical information shared orally or in writing during discussions

Information need not have been expressly marked confidential.

The Company undertakes the following in respect of confidential information:

• To use the information only for quote evaluation and production
• To limit the information to personnel who need to know it in order to run the job
• Not to transfer the information to third parties and not to delegate production to a third-party supplier
• Not to use the information to develop its own products or services
• To protect the information with at least the care it applies to its own trade secrets

Information is not treated as confidential, or the confidentiality obligation is not deemed breached, in the following cases:

• The information has entered the public domain through no fault of the Company
• The information was lawfully obtained from a source not under a confidentiality obligation
• The information was developed independently by the Company
• The information is requested by an authorised public institution or judicial authority in accordance with legislation

In the last case, you are informed before disclosure to the extent legislation permits.

The confidentiality obligation begins the moment the information reaches us.

It continues even for requests that remain at the quote stage and do not become production. Unless a separate agreement is signed between the parties, it applies for as long as the nature of the information requires.

On your request, the files you have sent us are destroyed once the quote process or production is complete.

The destruction is confirmed to you in writing when it is done. Records that must be kept under retention obligations arising from legislation fall outside this scope.
